Member Agreement

This Member Agreement ("Agreement") is between Anjoy Collective, Inc. doing business as Aloe Health ("Aloe," "we," "us," or "our") and you, the employee or plan participant enrolling through the Aloe platform ("you" or "your"). It applies when you use Aloe to enroll in and use the individual coverage health reimbursement arrangement ("ICHRA") offered by your employer.

By completing enrollment, you agree to this Agreement. It incorporates our Privacy Policy and Terms of Service. Capitalized terms not defined here have the meaning given in those documents.


1. What Aloe Does

Your employer offers an ICHRA and has engaged Aloe to administer it. Aloe helps you shop for and enroll in an individual health insurance plan, tracks the monthly allowance your employer makes available to you, and administers reimbursements and payments for eligible expenses in accordance with your employer's plan documents and applicable law, including 26 U.S.C. Section 213(d).

Aloe is a technology and administration platform. Aloe is not an insurance company, is not your employer, and does not provide health insurance coverage. The individual health plan you choose is issued by the insurance carrier you select, subject to that carrier's terms.

2. Your Enrollment

You authorize Aloe, and the licensed insurance agent assisting you, to submit your application for individual health coverage to the carrier you select and to share the information you provide with that carrier, your employer's plan, and service providers as needed to complete and administer your enrollment. You are responsible for the accuracy of the information you provide, including the members of your household you choose to cover.

3. Your Allowance

Your employer decides the monthly allowance available to you under its plan. Amounts your employer contributes toward eligible coverage are intended to be provided on a tax-favored basis when the requirements of the ICHRA rules are met. Your allowance is governed by your employer's plan documents, which control if there is any conflict with this Agreement. Aloe does not guarantee any particular tax treatment for you.

4. Paying for Coverage

Aloe facilitates payment of your monthly premium using your allowance. If your premium is more than your allowance, the difference is your responsibility and may be collected through pre-tax payroll deduction under your employer's Section 125 cafeteria plan, where available, or as otherwise arranged by your employer. If your allowance is more than your premium, any remaining amount may be available for other eligible expenses to the extent your employer's plan allows.

5. Substantiation and Eligibility

You agree to provide the documentation Aloe reasonably requests to confirm that you are enrolled in eligible individual coverage and that expenses submitted for reimbursement are eligible. Reimbursements and payments may be withheld or reversed if coverage or eligibility cannot be substantiated, or if information you provided is inaccurate.

6. Electronic Communications

You agree to receive plan documents, notices, and required disclosures from Aloe electronically. You may request paper copies of any document at any time, at no cost, by contacting us. You are responsible for keeping your contact information current.

7. Privacy and Health Information

Aloe handles your information as described in our Privacy Policy. Protected health information is handled in accordance with applicable law, including HIPAA. Aloe shares your information with your carrier, your employer's plan, and service providers only as needed to administer your benefits or as permitted or required by law.

8. No Tax or Legal Advice

Aloe does not provide tax, legal, or insurance advice. The estimates and information shown on the platform, including any marketplace subsidy or tax-savings figures, are estimates only. You are responsible for your own decisions and should consult your own advisor about your specific situation.

9. Changes to Your Coverage

Your eligibility for the ICHRA depends on your employment and your employer's plan. If you lose eligibility, leave your employment, or your coverage ends, your allowance and reimbursements end as provided in the plan documents. You may have the right to continue certain benefits under COBRA or applicable law. You agree to notify your employer promptly of changes that affect your eligibility or your household.

10. Changes to This Agreement

Aloe may update this Agreement from time to time. We will make the current version available on the platform and, where required, notify you of material changes. Your continued use of the platform after an update takes effect means you accept the updated Agreement.

11. Governing Law and Contact

This Agreement is governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. Questions about this Agreement can be sent to hello@aloehealth.co.
